Product-Specific Terms
These Product-Specific Terms apply if (and only if) a customer (a “Customer”) of Salesloft, Inc. and/or its affiliates, including Clari Inc. (collectively, “Salesloft”), purchase any of the Services listed below, as set forth in an order agreement (or other ordering document agreed to by the parties).
Dialer
Definitions
“Dialer Services” means features of the Salesloft Services used to make calls and send text messages.
“Unlimited Dialer Services” means Salesloft Services through which Customer can make phone calls without being separately billed based on actual usage, which at the time of execution of this Agreement, includes the “Unlimited Talk Europe” and “Unlimited Talk and Text North America”.
“Unlimited Dialer Users” means Endl Users for whom Customer has obtained the right to use Unlimited Dialer Services.
“Excessive Use” means a month where Customer’s total usage of the any Unlimited Dialer Services is greater than 3,000 minutes per Unlimited Dialer User, provided that all such minutes are pooled (e.g., if Customer has ten (10) Unlimited Dialer Users, Customer may use up to 30,000 minutes per month).
Team Excessive Usage Rules. If Customer engages in Excessive Use of the Unlimited Dialer Services during any two (2) months during any rolling twelve (12) month period, Salesloft may charge for excess usage beyond the permitted usage as set forth in the Excessive Use definition above.
Variable Dialer. If Customer has not obtained access to Unlimited Dialer Services or wishes to call or text into a jurisdiction not covered by such Unlimited Dialer Services, such calls and texts will require the payment of additional fees, which are based on actual usage on a per minute basis (“Variable Dialer”). Customer will be invoiced in arrears for the prior month’s usage, and by using such functionality, Customer agrees to pay for all such usage. The rates charged for Variable Dialer are dependent upon multiple factors, including the jurisdictions from which you make the call or text and the jurisdiction of the recipient of the call or text.
Dialer Services Usage. Any and all use of the Dialer Services remains subject to compliance with all applicable laws and regulations, this Agreement, and the Documentation. Furthermore, in the event that Salesloft becomes subject to any fines, penalties, fees, or expenses as a result of Customer's or its Users’ misuse of Dialer Services, Customer acknowledges and agrees that it will pay all amounts associated with such fines, penalties, fees, and expenses to Salesloft within thirty (30) days of notice from Salesloft.
Drift
Unless otherwise explicitly noted herein, the Drift platform will be enabled on one (1) domain per instance. Additional domains (including additional domains for separate workspaces) are subject to additional fees.
Drift Email
Fees for Drift Email are based on monthly email reply volume and include the number of replies per month specified herein. If Customer’s actual number of replies per month exceeds the purchased quantity, upon Salesloft’s request, Customer will upgrade to the appropriate volume tier that most closely aligns with Customer’s actual usage or purchase the minimum quantity of units required by Salesloft, as applicable. For the avoidance of doubt, where Drift is deployed on multiple domains, the purchased monthly quantity applies across all domains and not on a per domain basis.
Bionic Chatbot
Fees for Bionic Chatbot are based on yearly reply volume, and include the number of replies per year specified herein. If Customer’s actual number of replies exceeds that purchased annual quantity, upon Salesloft’s request, Customer will upgrade to the appropriate volume tier or purchase the minimum quantity of replies required by Salesloft, as applicable. For the avoidance of doubt, where Drift is deployed on multiple domains, the purchased annual quantity applies across all domains and not on a per domain basis.
Site Concierge
Fees for Site Concierge are based on unique website visitor volume and include the number of visits per year specified herein. If Customer’s actual number of unique site visits exceeds the purchased annual quantity, upon Salesloft’s request, Customer will upgrade to the appropriate volume tier or purchase the minimum quantity of visits required by Salesloft, as applicable. For the avoidance of doubt, where Drift is deployed on multiple domains, the purchased annual quantity applies across all domains and not on a per domain basis.
Drift Engage
Drift Engage is provided by Salesloft utilizing Lift AI technology. Accordingly, in addition to the Agreement, the Lift AI Standard Terms and Conditions (“Lift AI Terms”) found at https://www.salesloft.com/legal are incorporated into this Agreement by reference. By executing this Agreement, Customer agrees that it is subject to and will comply with the Lift AI Terms. For the avoidance of doubt, the Lift AI Terms only govern Customer’s access to and use of Drift Engage, as further described in the Lift AI Terms, and do not apply to any other Services.
Fees for Drift Engage are based on monthly site visits volume and include the number of visits per month outlined herein. If Customer’s actual number of monthly site visits exceeds the purchased quantity, upon Salesloft’s request, Customer will upgrade to the appropriate volume tier that most closely aligns with Customer’s actual usage or purchase the minimum quantity of units required by Salesloft, as applicable. For the avoidance of doubt, where Drift is deployed on multiple domains, the purchased monthly quantity applies across all domains and not on a per domain basis.
Account Agent
The Account Agent includes 100 Agent Runs (as defined below) per User per month for the Research Agent. This usage allowance is pooled across all Users with purchased access to the Research Agent under the Customer’s account (the “Usage Limit”). For example, if Customer has 10 Users, then Customer will have a total monthly Usage Limit of 1,000 Agent Runs. If Customer exceeds the monthly Usage Limit, Salesloft reserves the right, at its discretion, to: (a) charge additional fees by requiring the Customer to purchase additional volume or upgrade to the next available usage tier, and/or (b) suspend or limit access to the Agent until an upgrade is completed. An “Agent Run” is the initiation and execution of a single research task (regardless of quality or completeness of outcome) by the Agent, whether triggered manually by Customer or its Users or programmatically via the Subscription Services.
In the event that Customer adds additional Users to its Salesloft account, Customer will also be required to upgrade its subscription to the Account Agent to accommodate the additional Users. The applicable fees for such upgrades will be set out in a separate Order Form executed by the parties. Further, the current pricing for Account Agent access is promotional and may be subject to change in the future. Salesloft reserves the right to review the Customer’s usage at the end of the Order Form subscription term and adjust pricing accordingly for any applicable renewal term (including auto-renewals).
Clari Copilot
The Service Level Agreement (incorporated by reference in the Master Services Agreement) does not apply to Clari Copilot.
Groove
If a Groove Dialer license or Groove SMS license is purchased, then Dialer usage, calls, messaging, voice services, local and international phone numbers are not included in the Groove Dialer license or Groove SMS license price. Those incurred charges will be billed separately to Customer according to the rate of the underlying service provider.
